1. Acceptance of Terms

By accessing or using the sference website and services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

sference provides managed AI inference infrastructure with built-in compliance capabilities. Our services are currently in pre-launch; features described on our website represent planned functionality.

3. Data Processing

Where your use of our services involves the processing of personal data on your behalf, our Data Processing Agreement forms part of these terms and prevails over them in respect of data protection matters. The current list of authorised sub-processors is published at sference.com/legal/subprocessors.

4. Account Access

Creating an account does not guarantee access to our services. Capacity is currently gated while we onboard design partners. We reserve the right to grant access at our discretion and on our timeline.

5. Fees and Payment

Prepaid credits. Unless we have agreed otherwise in writing, our services are provided on a prepaid basis. You purchase credits in advance and usage charges are drawn down against your credit balance as they are incurred. Where your balance is exhausted, we may suspend service until it is topped up.

Invoiced accounts. Where we have agreed in writing to invoice you rather than draw down prepaid credits, invoices are payable within 14 days of the invoice date (Net 14). An Order Form or written agreement signed by both parties may specify different payment terms, in which case those terms prevail over this clause.

Disputed invoices. If you dispute an invoice in good faith, you must notify us in writing within 14 days of the invoice date, setting out the disputed items. Undisputed amounts remain payable on the due date.

Late payment. Overdue amounts carry interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate, accruing daily from the due date until payment, together with the fixed sum and reasonable recovery costs provided for by that Act. We may suspend or throttle access to the services while an undisputed invoice remains unpaid.

Taxes. All fees are exclusive of VAT and any other applicable taxes or duties, which are payable by you in addition at the prevailing rate.

6. Intellectual Property

All content on this website, including text, graphics, logos, and code examples, is the property of sference and protected by applicable intellectual property laws.

7. Limitation of Liability

sference shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or services.

8. Governing Law

These terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales. Sference is a trading name of Neural Compute Ltd, a company registered in England and Wales with company number 17195150.

9. Changes to Terms

We may update these terms from time to time. Changes will be posted on this page with an updated revision date.
